Representation of Corporativo Hermes throughout the bidding process regarding the
acquisition of a stake in the Cabo Rivera development, located in Baja California and
designed as the largest resort and marina in Latin America.
Counsel to Empresas Publicas de Medellin E.S.P. in the tender to acquire 3
separate Sewage Treatment Facilities serving diverse municipalities in Mexico and
performance of Environmental Business Risk Assessment.
Counsel to LaSalle Investment Management and performance of environmental site
assessment studies, in order to determine the presence of contaminated sites, after
which we obtained the Federal authorization for the site remediation program.
Pro bono work performed as counsel to VERDF, Voltear a ver, A.C., a not-for-
profit organization that promotes environmental conscience and resource preservation
through the development of courses and seminars, and most importantly through the
media.
Representation of Walton Street Capital, to determine the environmental business
risk associated to the development of a resort and high-end housing development
named Puerto Cancun in Cancun, Quintana Roo.
Representing KST Electric Power Company, S.A.P.I. and its sponsors Korea
Electric Power Corporation, Samsung C&T Corporation and Techint in the
US$450 million financings by The Export-Import Bank of Korea, Crédit Agricole,
Sumitomo-Mitsui Banking Corporation and Scotiabank Inverlat, with West LB as
financial advisor.
Representing the consortium formed by Korea Electric Power Corporation,
Samsung C&T Corporation and Techint in an international public bid and the
execution of a 25-year Power Purchase Agreement with the Federal Electricity
Commission, for the construction and operation of the Norte II 433 MW CCGT
power plant in Chihuahua, México.
Represented Banorte and a syndicate of Mexican banks in the MXP$850 million
senior financing facility granted to Renova Atlatec (a Mexican joint venture of
Mitsui and ICA), for the construction, operation and management of the PPS Agua
Prieta Water Treatment Plant Project in the State of Jalisco. This project
represented the second largest water treatment project in Mexico.
Gonzalez Calvillo, S.C. Abogados 2012 Advised Alstom Mexicana in a US$1.7 billion project to build, with ICA and Carso
Infraestructura y Construccion, Line 12 (Tlahuac-Mixcoac) of the Mexico City
subway system, tendered by the Mexico City Government.
Representation of a syndicate of banks headed by the Japan Bank for International
Corporation (JBIC), Caylon and Citigroup, for the financing of a US$1 billion
facility for a consortium of international buyers participating in an international
public bid to purchase power plants and assets of Electricité de France in Mexico.
Representation of Banorte in the financing of approximately US$52 million to
Grupo Marhnos for the construction and operation of the International Toll Bridge
Anzalduas Reynosa-McAllen, Texas.
Representation of Transurban, one of the largest toll-road operators in the world, in
its assessment towards participation in FARAC 1.
Advised the Japan Bank for International Corporation (JBIC) in a US$600
million financing to Mitsubishi Corporation for the construction of a 648 MW
Coal-Fired Power Generation Plant tendered by the Comisión Federal de
Electricidad.
Advised the Government of the State of Sinaloa in the assessment of the
securitization of certain toll-roads and toll-bridges in the State.
Representation of Banorte in a revolving loan facility to AES Mérida III, for the
operation of a 484 MW combined-cycle power plant in Mérida, Mexico.
Representation of Banorte and Banco Santander in the US$520 million facility to
Concesionaria Autopista Perote-Xalapa, a joint venture between Spanish group
Isolux-Corsan and Portuguese conglomerate Mota-Engil and ESConcessões, for the
construction of the Perote-Xalapa toll highway.
Representation of Electricité de France and Mitsubishi in connection with
environmental issues involved in the Altamira II power generation project.
Representation of PMI Services North America, Inc., in obtaining all necessary
permits, licenses and authorizations from Mexican environmental authorities and
from the International Boundary and Waters Commission, for the construction of a
10” pipeline to transport diesel and gasoline from El Paso, Texas, to the PEMEX
Storage and Distribution Center in Ciudad Juarez, Chihuahua.
Advised the Japan Bank for International Corporation (JBIC) in the US$600
million financing to Carboelectrica Diamante (a company formed by Mitsubishi
Gonzalez Calvillo, S.C. Abogados 2012 Corporation) for the construction of a 648 MW Coal-Fired Power Generation Plant
as a project tendered by the Federal Electricity Commission.
Representation of the Federal Electricity Commission in several electricity
production and transmission projects, including the Rosarito III 450 MW Power Plant
(BLT); Monterrey 450 MW Power Plant (BLT); Merida III 484 MW Power Plant
(PPA); Rio Bravo 405-495 MW Power Plant (IPP); Hermosillo 225 MW Power Plant
(IPP); and in transmission lines and substations interconnected to the National
Transmission Network (Red Nacional de Transmision) (BLT). Our participation
involved the design of the legal structure and financing for such projects, as well as the
development of the bidding guidelines and the preparation of a wide range of contracts
to implement the development.
Representation of Sempra Energy International in the project for the design,
engineering, construction and operation of a 500 MW Merchant Power Plant in Mexicali
for export of electricity to the United States.
Representing Abengoa México in a US$52 million financing from Caja de Ahorros
y Monte de Piedad de Madrid, for the execution of works for the construction and
installation of more than 170 kilometers of five 400 kV and 230 kV transmission
lines and two substations for a Federal Electricity Commission power plant in the
State of Tabasco, Mexico.
Representation of Constructora Eléctrica del Caribe (a subsidiary of Mitsubishi
Corporation) in the bidding process and the design, financing, installing, operation
and management of submarine and underground power transmission lines for the
projects known as “Playa del Carmen-Chancanab" and "Balam-Poktapok", in the
Yucatan Peninsula.
Representation of Constructora Geotermoeléctrica del Pacífico (a subsidiary of
Mitsubishi Corporation) in the bidding process and the design, financing, installing,
operation and management of a combined cycle electric plant located in Mexicali,
Mexico, for the generation of 100 MW.
Representation of the consortium of Andrade Gutierrez, and MCN Energy Group,
in the implementation of their strategic alliance for the design, financing,
construction, operation and maintenance of a hydroelectric plant at San Rafael, State
of Nayarit, Mexico, for the generation of up to 24 MW of electricity under a self-
supply structure.
Representation of Norelec del Norte (a subsidiary of Mitsubishi Corporation) in
the bidding process and the design, financing, installing, operation and management
of a power plant located in Chihuahua, Mexico, for the generation of 450 MW.
Gonzalez Calvillo, S.C. Abogados 2012 Formation of Electricidad Aguila de Tuxpan (a subsidiary of Mitsubishi
Corporation) and assistance in closing the financing for the construction of a 450
MW power plant in Tuxpan, Veracruz under an Independent Power Producer permit
(IPP).
Representing Sener Ingeniería y Sistemas, S.A. in relation with a US$252 million
financing for its construction for the Federal Electricity Commission of a 394.1 MW
combined cycle power generation facility in Agua Prieta, Sonora, Mexico.
Representing Abengoa México in a multi-million dollar financing from Caja de
Ahorros y Monte de Piedad de Madrid, for the execution of works for the
construction and installation of more than 110 kilometers of three 115 kV
transmission lines and one substation for a Federal Electricity Commission power
plant in the State of Chihuahua, Mexico.
Representation of Constructora Andrade Gutierrez in the design and
implementation of strategic alliance with Sulzer Hydro and ABB, for the financing,
construction, operation and maintenance of a hydroelectric plant at Santa María,
Panamá, for the generation of up to 24 MW of electricity.
Representing Abengoa México in a US$19 million financing from Caja de Ahorros
y Monte de Piedad de Madrid, for the execution of works for the construction and
installation of two 115 kV transmission lines and six distribution substations and
related high-voltage feeders, for Federal Electricity Commission power plants located
in the States of Sinaloa and Sonora, Mexico.
Representation of Illinova Generating Company in its strategic alliance with
Constructora Andrade Gutierrez and Entec, for the financing, design, construction,
operation and maintenance of 3 hydroelectric plants for the generation of electricity
under self-supply structures.
Representation of a syndicate of 8 international banks led by ING Bank, N.V. acting
as Agent, and including Mizuho, CitiBank, N.V., Crédit Agricole Corporate and
Investment Bank, La CaixaBank, Banco de Sabadell, Banamex, and BBVA
Bancomer, acting as Security Agent, in the US$300 million acquisition financing to
Vopak LNG Holdings, B.V. of The Netherlands and EneGas, S.A. of Spain to
purchase the Altamira II LNG facility in the State of Tamaulipas, Mexico, owned by
Shell Gas B.V., Mistui and Co., Ltd. and Total Gaz Electricite Holding France.
